Acceptance of Terms
These Terms of Service ("Terms", "Agreement") are entered into between Ptech Media ("Company", "we", "us", "our") and you ("User", "Customer", "you"), and govern your access to and use of the Ptech Media platform, website, APIs, and all related services (collectively, the "Service").
By clicking "I Agree," creating an account, or otherwise accessing or using our Service, you represent that:
- You have read, understood, and agree to be bound by these Terms.
- You have the authority to enter into this Agreement on behalf of yourself or the entity you represent.
- You are at least 18 years of age or the age of legal majority in your jurisdiction.
- Your use of the Service complies with all applicable laws and regulations.
Definitions
For the purposes of this Agreement, the following definitions apply:
- "Service" means the Ptech Media multichannel e-commerce management platform, website, APIs, mobile applications, and all related features and tools.
- "User" / "Customer" means any individual or entity that has registered for or is using the Service.
- "Account" means the registered profile created to access the Service.
- "Marketplace" means any third-party e-commerce platform (e.g., TikTok Shop, Etsy, eBay, Shopify, WooCommerce, Amazon) connected to the Service via API.
- "Marketplace Data" means product listings, orders, inventory, customer shipping data, and other information retrieved from connected Marketplaces.
- "Subscription" means a paid plan granting access to the Service for a defined period.
- "Content" means any text, images, data, or other materials you upload, submit, or transmit through the Service.
- "Confidential Information" means non-public information disclosed by either party in connection with this Agreement.
Description of Service
Ptech Media provides a software-as-a-service (SaaS) multichannel e-commerce management platform that enables merchants (sellers) to:
- Connect and manage multiple e-commerce marketplace accounts from a single dashboard
- Synchronize product listings, inventory levels, and pricing across connected Marketplaces
- Manage, process, and fulfill orders from multiple channels in one place
- Access cross-channel analytics, reporting, and performance metrics
- Automate promotional campaigns, affiliate programs, and marketing workflows
- Integrate with third-party ERP, WMS, CRM, and logistics systems via API
The Service is provided on an "as is" basis, subject to the terms and conditions of this Agreement. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.
User Accounts & Registration
4.1 Account Creation
To use the Service, you must register for an account by providing accurate, complete, and current information including your name, business name, email address, and other required details.
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials (username and password)
- All activities that occur under your account
- Notifying us immediately at [email protected] of any unauthorized access or security breach
- Enabling two-factor authentication (2FA) for enhanced account security (strongly recommended)
4.3 Account Eligibility
You represent that you are authorized to operate the Marketplace accounts you connect to the Service and that you comply with all applicable Marketplace seller policies and terms of service.
4.4 Business Accounts
If you register on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms. The entity will be the "User" and you are their authorized representative.
Subscriptions & Payments
5.1 Subscription Plans
The Service is offered on a subscription basis. Available plans, pricing, and included features are described on our pricing page. We reserve the right to modify pricing with at least 30 days' notice.
5.2 Billing
- Subscriptions are billed in advance on a monthly or annual basis, as selected.
- You authorize us to charge your payment method on file at the beginning of each billing cycle.
- All fees are stated in US Dollars (USD) and are exclusive of applicable taxes.
- You are responsible for any taxes, duties, or charges imposed by your local jurisdiction.
5.3 Free Trial
We may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.
5.4 Refund Policy
- Monthly Plans: No refunds for partial months. Cancel anytime; access continues until the end of the billing period.
- Annual Plans: A pro-rated refund may be issued within 14 days of the annual renewal date, at our discretion.
- Refunds are not issued for downgrades or unused features.
5.5 Failed Payments
If a payment fails, we will notify you and provide a grace period of 7 days to update your payment method. Failure to resolve the payment may result in account suspension and, after 30 days, account termination.
API & Platform Usage
6.1 Marketplace Connections
When you connect a Marketplace account, you authorize Ptech Media to access, retrieve, and process Marketplace Data on your behalf through the Marketplace's official API, subject to the permissions you grant via OAuth or similar authorization protocols.
6.2 Compliance with Marketplace Policies
You agree to:
- Comply with all terms, policies, and guidelines of each Marketplace you connect to the Service.
- Not use the Service in any way that violates TikTok Shop's Developer Terms of Service, Seller Terms, or any other Marketplace policy.
- Not engage in any activity that could result in the suspension of your Marketplace seller accounts.
- Ensure that all product listings, descriptions, and data you manage through our Service are accurate and compliant with Marketplace requirements.
6.3 TikTok Shop Specific Requirements
- You represent that you are a legitimate seller authorized to sell on TikTok Shop US.
- You agree to comply with TikTok Shop's Seller Code of Conduct, product safety requirements, and consumer protection policies.
- You authorize Ptech Media to access your TikTok Shop data under the scope of permissions you grant, solely for the purpose of providing the Service.
- You understand that TikTok may revoke our API access at any time, which may affect Service functionality.
6.4 API Rate Limits
You agree not to use the Service in a manner that exceeds the API rate limits set by any connected Marketplace, which could result in temporary or permanent API access revocation.
Intellectual Property
7.1 Our Intellectual Property
The Service, including its software, user interface, features, functionality, design, logos, trademarks, and all associated materials, are owned by or licensed to Ptech Media and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our written permission.
7.2 Your Content & Data
You retain all ownership rights to your Content and Marketplace Data. By using the Service, you grant Ptech Media a limited, non-exclusive, worldwide license to access, process, and use your Content and Marketplace Data solely for the purpose of providing and improving the Service.
7.3 Feedback
If you provide us with suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant us a royalty-free, irrevocable license to use such Feedback without restriction or compensation.
Data & Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.
- We collect and process data as described in our Privacy Policy, in compliance with GDPR, CCPA, and applicable data protection laws.
- Marketplace customer data (including shipping addresses) accessed through our Service is used solely for order fulfillment purposes and is not shared with unauthorized third parties.
- You remain the data controller for your customers' personal data; Ptech Media acts as a data processor on your behalf.
- You are responsible for ensuring that your use of customer data through our Service complies with applicable privacy laws and your own privacy policy.
Prohibited Uses
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Upload or distribute counterfeit, fraudulent, or illegal products
- Attempt to gain unauthorized access to our systems, servers, or other users' accounts
- Use automated tools, bots, or scraping mechanisms beyond what is explicitly permitted by the Service's API
- Transmit viruses, malware, or any other malicious code
- Circumvent or abuse Marketplace policies through our platform
- Use the Service to engage in price-fixing, market manipulation, or anti-competitive behavior
- Impersonate another person or entity
- Engage in any activity that disrupts or degrades the performance or security of the Service
- Resell, sublicense, or commercially exploit the Service without written permission
- Violate TikTok Shop's prohibition on unauthorized data commercialization or sharing
Violation of these prohibitions may result in immediate account suspension or termination without refund.
Service Availability & Uptime
We target a 99.9% monthly uptime for our core platform. Scheduled maintenance windows will be communicated in advance whenever possible. Downtime caused by third-party Marketplace API outages is outside our control and is excluded from our uptime commitment.
We reserve the right to temporarily suspend the Service for maintenance, upgrades, or emergency security fixes. We will make reasonable efforts to minimize disruption and notify you in advance.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PTECH MEDIA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY MARKETPLACE DATA
- WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS
Ptech Media does not warrant or guarantee the outcome of any marketing campaigns, sales performance, or business results achieved through the use of the Service.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PTECH MEDIA, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR LICENSORS BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
- DAMAGES ARISING FROM MARKETPLACE POLICY CHANGES, API OUTAGES, OR THIRD-PARTY SERVICE FAILURES
- DAMAGES RESULTING FROM YOUR FAILURE TO COMPLY WITH MARKETPLACE SELLER POLICIES
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS
IN ALL CASES, PTECH MEDIA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO PTECH MEDIA IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Indemnification
You agree to indemnify, defend, and hold harmless Ptech Media, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorney's fees) arising out of or relating to:
- Your use of, or inability to use, the Service
- Your violation of these Terms
- Your violation of any applicable law, regulation, or Marketplace policy
- Your Content, including any infringement of third-party intellectual property rights
- Any dispute between you and a customer, supplier, Marketplace, or other third party
- Your breach of any representation or warranty made in this Agreement
Termination
14.1 Termination by You
You may cancel your account at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period.
14.2 Termination by Ptech Media
We may suspend or terminate your account immediately, without prior notice or liability, if:
- You breach any provision of these Terms
- You engage in fraudulent, abusive, or illegal activity
- Your account poses a security risk to other users or the Service
- Payment remains delinquent after the grace period
- We are required to do so by law or by a Marketplace partner
14.3 Effect of Termination
Upon termination:
- Your access to the Service will be immediately revoked.
- All API connections to connected Marketplaces will be deauthorized.
- We will retain your data for 90 days, after which it will be permanently deleted (unless required by law).
- You may request a data export within this 90-day window.
- Provisions that by their nature should survive termination will do so, including Sections 7, 11, 12, 13, and 15.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. For international users, local mandatory consumer protection laws may also apply.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Dispute Resolution
16.1 Informal Resolution
If you have a dispute with us, please first contact us at [email protected]. We will attempt to resolve disputes informally within 30 days of receiving your complaint.
16.2 Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered under the rules of the American Arbitration Association (AAA), rather than in court. The arbitration shall be conducted in English and may be conducted remotely.
16.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
16.4 Exceptions
Either party may seek emergency injunctive relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.
General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Ptech Media regarding the Service.
17.2 Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
17.3 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms or delegate our obligations in connection with a merger, acquisition, or sale of assets.
17.4 Force Majeure
Neither party will be liable for delays or failures in performance resulting from causes beyond their reasonable control, including acts of God, natural disasters, pandemics, government actions, Marketplace platform changes, or internet outages.
17.5 No Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Changes to These Terms
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last Updated" date at the top of this page
- Send you an email notification at least 30 days before material changes take effect
- Display a prominent banner on our website and within the Service
If you continue to use the Service after changes take effect, you agree to be bound by the revised Terms. If you do not agree with the changes, you must discontinue using the Service before they take effect.
